GENERAL TERMS AND CONDITIONS OF SALE (GTCS)
1. Purpose
These General Terms and Conditions of Sale (hereinafter "GTCS") define the rights and obligations of the parties in the context of the sale of products and/or services offered by ID electronic SA (hereinafter "the Seller") to its professional or private clients (hereinafter "the Client").
They are an integral part of any contract concluded between the Seller and the Client, unless otherwise agreed in writing.
2. Orders
Any order placed with the Seller implies unconditional acceptance of these GTCS.
Orders are considered firm upon their confirmation in writing, by email, or via a computer system of the Seller.
The Seller reserves the right to refuse an order for legitimate reasons.
3. Prices
Prices are expressed in Swiss francs (CHF), excluding VAT, unless otherwise stated.
The Seller may change prices at any time but commits to applying the rates in effect at the time of the confirmed order.
4. Payment Terms
Payment is due within 10 days net from the date of invoicing, unless otherwise provided.
In case of delay, administrative fees or interest may be applied in accordance with Swiss commercial practices.
The Seller remains the owner of the goods until full payment is made (retention of title).
5. Delivery
Delivery times are given as an indication.
The Seller cannot be held responsible for delays attributable to the carrier or circumstances beyond its control.
The risks pass to the Client upon delivery to the carrier, unless otherwise agreed.
6. Warranty(art. 210 CO)
The products are guaranteed against defects for 2 years, unless extended by contract.
The Client must report any defect without delay after its discovery, in accordance with the Code of Obligations.
The warranty excludes:
- normal wear and tear,
- damage caused by improper use,
- unauthorized interventions.
The Seller may choose between replacement, repair, or partial refund.
7. Liability
The Seller's liability is limited to direct and proven damages caused by gross negligence or intentional misconduct.
Any liability for indirect damages (loss of profit, loss of data, etc.) is excluded, within the limits of Swiss law, and subject to the rules prohibiting the limitation of liability in cases of gross negligence.
8. Data Protection
The Seller processes personal data in accordance with the FADP (Federal Act on Data Protection).
The data is used exclusively within the contractual framework, stored securely, and only transmitted to third parties if necessary for the processing of the order.
If data is processed outside of Switzerland, compliance with the relevant jurisdictions must be ensured.
9. Returns and Complaints
Any complaint must be made within 8 days of receipt.
No returns will be accepted without prior agreement from the Seller.
Products must be returned in their original condition.
10. Applicable law and jurisdiction
These General Terms and Conditions are subject to Swiss law.
The jurisdiction is set at the Seller's headquarters, unless otherwise mandated by law.
The Seller and the Buyer agree to seek an amicable solution before any legal action.
In case of discrepancies in interpretation between different language versions of these General Terms and Conditions of Sale, the French version prevails and is authoritative.
11. Modification of the General Terms and Conditions
The Seller may modify the General Terms and Conditions at any time.
The applicable General Terms and Conditions are those in effect on the day of the order.
Any modification applies only to future orders.
